Terms & Conditions
Memberships, bookings, cancellation and no-show fees, studio policies and the legal terms of using The Mat.
These Terms and Conditions ("Terms") are a binding agreement between you and The Mat, a pilates and sculpt studio ("The Mat," "we," "us," or "our"), located at 1429 San Marco Blvd., Ste A, Jacksonville, FL 32207. They apply when you use our website, book or attend a class or event, or purchase a membership, class pack or any other service.
Please read them carefully. Section 13 requires you to assume the risks of physical activity, Sections 15 and 16 limit our liability, and Section 19 requires most disputes to be resolved by individual arbitration and waives your right to participate in a class action. If you do not agree to these Terms, do not use our website or services.

1. Acceptance of these Terms
By creating an account, booking a class, purchasing a membership, class pack, event ticket or gift, entering our studio, or using this website, you agree to these Terms and to our Privacy Policy. If you purchase or attend on behalf of someone else, you agree to these Terms for yourself and confirm you are authorized to accept them for that person.
These Terms work alongside the liability waiver, membership agreement, health questionnaire and any studio policies you sign or receive. Where a signed waiver or membership agreement and these Terms both address a subject, both apply to the fullest extent possible; if they truly conflict, the signed document controls for that subject.
2. Eligibility and minors
You must be at least 18 years old to create an account, purchase a membership, or agree to these Terms. Participants under 18 may attend only where we expressly allow it for a given class or event, and only if a parent or legal guardian has signed the waiver and these Terms on their behalf and accepts financial responsibility for their account. We may require proof of age and may decline any account or booking at our discretion.
3. Your account and information
Class bookings, memberships and payments are managed through our third-party booking platform. You agree to provide accurate, current and complete information, to keep it up to date — including your payment method, email address, phone number and emergency contact — and to keep your login credentials confidential. You are responsible for all activity under your account. Your use of the booking platform is also subject to that provider's own terms and privacy policy.
4. Memberships, class packs and pricing
We offer memberships, limited memberships, class packs and single classes. The price, included classes, credit allowance, expiration and any other specific terms for each option are those disclosed at the time of purchase in our booking platform or at the studio, and those disclosed terms form part of your agreement with us.
- Credits and expiration. Class pack and limited membership credits are valid for the period stated at purchase. Unless the purchase terms say otherwise, unused credits expire at the end of that period, do not roll over, and have no cash value.
- Non-transferable. Memberships, class packs, credits and promotional offers are personal to you. They may not be shared, sold, transferred or assigned, and the person booked into a class must be the person who attends.
- Introductory and promotional offers. Intro offers, discounts and promotions are limited to one per person unless stated otherwise, are available only to those who meet the stated conditions, cannot be combined unless we say so, and may be withdrawn or changed at any time before purchase.
- Price changes. We may change our prices, membership tiers, class formats, fee amounts and class offerings at any time. For an active recurring membership, a price increase will take effect no earlier than your next billing date and we will give you advance notice by email so you can cancel before it applies, subject to Section 6.
- Taxes. Prices are exclusive of any applicable sales or other taxes, which will be added where required by law.
5. Billing and automatic renewal
Recurring memberships renew automatically. By purchasing a recurring membership, you authorize us and our payment processor to charge your payment method on file the then-current membership fee, plus applicable taxes and any late cancellation, no-show or other fees you incur, on a recurring basis on your billing date, without further authorization from you, until your membership is cancelled in accordance with Section 9.
- Your billing cycle and billing date are set at purchase and shown in your account. Membership fees are billed in advance for the upcoming period.
- You must keep a valid payment method on file for as long as your membership is active, and you authorize us to charge any updated card details our processor receives for the same card.
- If a payment fails, we may retry it, may suspend your booking privileges and studio access until the balance is paid, and may charge any fee for declined or returned payments disclosed at the time. You remain responsible for amounts owed.
- If an amount remains unpaid, we may cancel your membership, decline future bookings, and refer the balance for collection. To the extent permitted by law, you are responsible for reasonable costs of collection, including attorneys' fees.
- If you believe you have been billed in error, contact us at lindsey@thematpilates.co within 60 days of the charge so we can review it.
6. Founding member rate
If you joined under a founding member offer, the monthly rate you signed up at remains your rate for as long as your membership stays continuously active, as described at the time of purchase. The locked rate applies to the membership you purchased; it does not survive cancellation, non-payment or a lapse in your membership, and it does not apply to other products, fees, taxes, events or services. If your founding membership ends for any reason and you rejoin later, you rejoin at the then-current rate. Late cancellation fees, no-show fees and other charges are not part of the locked rate and may change as described in Section 8.
7. Booking, waitlists and arrival
- Classes must be booked in advance through our booking platform and are subject to capacity. A spot is reserved only when your booking is confirmed.
- If a class is full, you may join the waitlist. If a spot opens, we or the platform will notify you using the contact details on your account. Once you are moved from the waitlist into the class, you are booked into it and the cancellation and no-show terms in Section 8 apply in full.
- Please arrive at least 10 minutes before class. For your safety and out of respect for the class, we may refuse entry to anyone arriving after class has begun, and a refused late arrival is treated as a no-show under Section 8.
- Equipment, props and mat space may be limited and are provided subject to availability.
8. Late cancellation and no-show fees
You must cancel a booked class at least 12 hours before its scheduled start time. Cancellations must be made through the booking platform, or by contacting the studio if the platform is unavailable. A cancellation is effective when it is recorded, not when you decide to make it.
- Timely cancellation. If you cancel 12 or more hours before the class start time, no fee applies and any credit used is returned to your account.
- Late cancellation. If you cancel less than 12 hours before the class start time, a late cancellation fee applies.
- No-show. If you do not attend a class you are booked into and do not cancel, a no-show fee applies. The no-show fee is a separate charge from the late cancellation fee and is set at a different amount.
- Fee amounts are subject to change. The current late cancellation fee and no-show fee amounts are disclosed in our booking platform and at the studio. We may change either amount at any time, and the amount in effect at the time of the missed or late-cancelled class is the amount that applies. Continuing to book classes after a fee change means you accept the current amounts.
- Class packs and limited memberships. If you hold a class pack or a limited (capped-credit) membership, late cancellation and no-show fees apply to you on the same basis as any other member, but you do not lose the class credit — the credit is returned to your account and you are responsible only for the applicable fee.
- How fees are charged. You authorize us to charge late cancellation and no-show fees to the payment method on file, at the time the fee is incurred or with your next membership payment. Unpaid fees are a balance owed on your account and may result in suspended booking privileges under Section 5.
- Waivers of a fee. We may waive a fee at our sole discretion, for example in a genuine emergency. Waiving a fee once is a courtesy, is not a change to this policy, and does not entitle you or anyone else to a waiver in the future.
These fees compensate the studio for a reserved spot that could not be released to another member in time and for the instructor and operating costs already committed to the class. You acknowledge that the fees are a reasonable estimate of that cost and are not a penalty.
9. Cancelling, pausing or changing a membership
To cancel a membership, you must contact the studio. Cancellation requests must be sent to lindsey@thematpilates.co or delivered in writing to the studio, and must identify your name and the membership you are cancelling. Cancelling a single class booking, deleting the app, stopping use of the studio, or asking your bank to block a charge does not cancel your membership and does not stop fees from accruing.
- We will confirm your cancellation in writing. Please keep that confirmation as your record; if you do not receive one, contact us.
- Unless your membership terms or applicable law provide otherwise, cancellation takes effect at the end of your current paid billing period. Your membership remains usable until then, and the period already paid for is not prorated or refunded.
- Please send your cancellation request at least 7 days before your next billing date. A request received less than 7 days before a billing date may not stop that cycle's charge, in which case cancellation takes effect at the end of that cycle.
- Any balance you owe — including late cancellation fees, no-show fees and failed payments — remains payable after cancellation.
- Pauses, holds and plan changes. We may offer membership pauses, holds, upgrades or downgrades. These are not guaranteed, must be requested and confirmed in writing, and are subject to the terms we disclose at the time, including any minimum or maximum pause length. A pause is not a cancellation.
- Cancellation by us. We may suspend or terminate your membership, account or studio access, with or without notice, for non-payment, for breach of these Terms, for conduct covered by Section 14, or where required by law. If we terminate without cause, we will refund the unused, prepaid portion of your membership for the period after termination.
10. Refunds
As a general policy, we do not offer refunds. Memberships, class packs, single classes, credits, fees, event tickets and gift purchases are non-refundable, and unused classes, credits or membership time have no cash value.
We will consider individual refund requests on a case-by-case basis, based on the circumstances you describe. Any such refund is granted at the sole discretion of the studio, is limited to the amount and form we specify (which may be studio credit rather than money), applies only to the request we granted, and is not a precedent or a commitment to grant any future request. To make a request, email lindsey@thematpilates.co and describe your circumstances. Nothing in this section limits the rights described in Section 11 or any other right you have that cannot be waived under applicable law.
Please do not dispute a charge with your bank or card issuer before contacting us. We would much rather resolve it directly, and chargebacks filed for charges validly incurred under these Terms — including membership renewals, late cancellation fees and no-show fees — may result in suspension of your account and re-billing of the disputed amount together with any fees the chargeback causes us to incur.
11. Your rights under Florida law
Florida law gives members of health studios certain rights that cannot be waived by contract, including, under the Florida Health Studio Act (Fla. Stat. §§ 501.012–501.019), the right to cancel a health studio membership contract within 3 business days of signing it and receive a refund of amounts paid, and additional cancellation rights in circumstances such as death, disability that prevents participation for an extended period, or relocation beyond a statutory distance from the studio. To exercise a statutory cancellation right, notify us in writing at the address or email in Section 24.
Nothing in these Terms is intended to waive, limit or disclaim any right or remedy that cannot lawfully be waived, limited or disclaimed. Where a provision of these Terms conflicts with such a right, that right controls and the rest of these Terms continue to apply.
12. Schedule changes, closures and events
Class times, formats, instructors, capacity and studio hours may change. We may substitute instructors, change a class format, combine or cancel a class — including for low enrollment, instructor illness, maintenance, weather, a hurricane or other severe weather event, a public health measure, loss of utilities, or any other cause beyond our reasonable control — and we may close the studio temporarily for holidays, maintenance or special events.
If we cancel a class you were booked into, we will return any credit used and no fee applies, and we will make reasonable efforts to notify you at the contact details on your account. Instructor substitutions, format changes and schedule changes are not grounds for a refund. Recurring membership fees continue during normal holiday or short-term closures.
Events, workshops and special programs may have their own registration, capacity, payment and cancellation terms, which are disclosed at registration and control over this Section where they differ. Event tickets and registrations are non-refundable unless the disclosed terms or applicable law say otherwise.
13. Health, fitness and assumption of risk
Before your first class, you must complete and sign our liability waiver and any health questionnaire we require. You agree that the statements you make in those documents are accurate and that you will update us if your health changes.
- Medical clearance. Pilates, sculpt and other physical activity carry risk. You represent that you are in good physical condition and have no medical condition, injury, pregnancy or other circumstance that would make participation unsafe, and that you have consulted a physician to the extent appropriate. Consult a licensed healthcare provider before beginning any exercise program, particularly if you are pregnant or postpartum, recovering from injury or surgery, or managing a medical condition.
- Not medical advice. Our instructors are fitness professionals, not medical providers. Nothing said or provided by The Mat — in class, on this website, or in any communication — is medical advice, diagnosis, treatment or physical therapy, and it is not a substitute for care from a qualified healthcare provider. We make no representation that any class will produce any particular result.
- Assumption of risk. You understand that participation involves inherent risks, including muscle strain, sprains, fractures, aggravation of an existing condition, contact with equipment or other participants, slipping on the floor or a mat, cardiac events, other serious injury and, in rare cases, death, and that these risks cannot be eliminated regardless of the care taken. You voluntarily accept and assume all such risks, whether known or unknown.
- Your responsibility in class. You are responsible for exercising within your own limits, for telling your instructor about injuries, conditions, pregnancy and limitations before class, for following instructions and modifications, for using equipment as directed, and for stopping immediately and seeking medical attention if you feel pain, dizziness, shortness of breath or other symptoms. Hands-on adjustments are optional; tell your instructor if you prefer not to receive them.
- Emergencies. You authorize The Mat and its staff to obtain or administer emergency medical care on your behalf if you appear to need it, and you are responsible for the cost of that care.
- Illness. Please do not attend class if you have a fever or a contagious illness. We may ask you to leave or to reschedule if you appear unwell, and a class you cannot attend for that reason remains subject to Section 8 unless we waive the fee.
14. Studio rules, conduct and property
- You agree to follow studio rules and posted signage, to treat instructors, staff and other members with respect, and to follow reasonable instructions from staff.
- We may refuse entry to, remove, suspend or permanently ban any person for harassing, threatening, discriminatory, violent, unsafe, disruptive or dishonest behavior, for being under the influence of alcohol or drugs, for damaging property, or for repeated or serious breaches of these Terms. Where we terminate for these reasons, no refund is due.
- Personal property. Cubbies and shelves are provided for convenience and are not secure. The Mat is not responsible for loss, theft of, or damage to your personal property at the studio or on the premises. Please leave valuables at home.
- Damage. You are responsible for damage you cause to studio equipment, fixtures or property through misuse, negligence or intentional conduct.
- Filming. Please do not film or photograph other members, or record a class, without the permission of everyone in frame and of the studio.
15. Disclaimers
Our website and our services are provided "as is" and "as available," without warranties of any kind. To the fullest extent permitted by law, The Mat disclaims all warranties, express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that our website will be uninterrupted, timely, secure or error-free, that any defect will be corrected, that information on the website is accurate, complete or current, or that participation in any class will produce any particular fitness, health, weight, appearance or other result. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
16. Limitation of liability
To the fullest extent permitted by law, The Mat and its owners, officers, employees, instructors, independent contractors, agents and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, loss of goodwill, or the cost of substitute services, arising out of or relating to your use of our website, your participation in any class, program or event, your membership, our fees and policies, or these Terms, whether based in contract, tort (including negligence), strict liability, statute or any other theory, and whether or not we were advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of The Mat and those parties for all claims arising out of or relating to these Terms, our website or our services will not exceed the greater of (a) the total amounts you paid to The Mat in the six months immediately before the event giving rise to the claim, or (b) one hundred dollars ($100).
Nothing in this Section or in Section 15 limits liability that cannot be limited under applicable law, including liability for gross negligence, willful or intentional misconduct, or personal injury to the extent applicable law prohibits limiting it. These limitations apply even if a remedy fails of its essential purpose, and they reflect an agreed allocation of risk that forms an essential basis of our agreement.
17. Indemnification
You agree to indemnify, defend and hold harmless The Mat and its owners, officers, employees, instructors, contractors, agents and affiliates from and against any claims, demands, liabilities, damages, losses, costs and expenses, including reasonable attorneys' fees, arising out of or relating to your participation in classes, programs or events, your use of our website or the studio premises, your breach of these Terms or of any waiver or agreement you signed, your violation of law or of the rights of another person, the conduct of any minor or guest you are responsible for, and any inaccurate health information you provided or failed to provide.
18. Intellectual property, photography and website use
The Mat name, logo, class names, website design, text, photographs, video, class sequences, programming and other content are owned by The Mat or its licensors and are protected by intellectual property law. You may view and share our website for personal, non-commercial purposes only. You may not copy, reproduce, republish, sell, teach from, or create derivative works from our content, class programming or materials without our prior written permission, and you may not scrape the site, introduce malicious code, attempt to gain unauthorized access, interfere with the site's operation, or use it for any unlawful purpose. Any feedback you send us may be used by us without restriction or compensation.
Photography and media. We occasionally photograph or film in the studio and at events for marketing and social media. Unless you tell us otherwise, you consent to appearing in such images and recordings and to our use of them, without compensation, in any medium. If you prefer not to appear, tell a staff member or email us and we will do our best to accommodate you and will remove you from future use of the image on request.
19. Dispute resolution and arbitration
Please read this Section carefully. It affects how disputes between us are resolved.
Talk to us first
If you have a problem, contact us at lindsey@thematpilates.co and give us a description of the issue and the resolution you want. We will try in good faith to resolve it informally. Neither of us may begin arbitration until 30 days after this notice is given.
Binding individual arbitration
If we cannot resolve a dispute informally, you and The Mat agree that any dispute, claim or controversy arising out of or relating to these Terms, our services, our website, your membership, fees, or the relationship between us — other than the claims excluded below — will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted by a single arbitrator, will take place in Duval County, Florida, or by telephone, videoconference or on documents if you prefer, and the arbitrator's award may be entered as a judgment in any court of competent jurisdiction. The arbitrator has exclusive authority to decide all issues, except that a court decides the enforceability of the class action waiver below. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
Class action waiver
You and The Mat agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate the claims of more than one person or preside over any form of class proceeding. If this class action waiver is found unenforceable as to a particular claim, that claim — and only that claim — must proceed in court, and the rest of this Section remains in effect.
Exceptions
Either of us may bring an individual claim in small claims court if it qualifies, and either of us may seek injunctive or other equitable relief in court to protect intellectual property or to stop unauthorized access or misuse. Nothing in this Section prevents you from reporting a concern to a government agency or court where the law gives you a non-waivable right to do so.
Opting out of arbitration
You may opt out of this arbitration agreement by emailing lindsey@thematpilates.co with your name and a statement that you are opting out of arbitration within 30 days of first accepting these Terms. Opting out will not affect your membership or any other part of these Terms.
20. Governing law and venue
These Terms and any dispute between us are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration, you and The Mat consent to the exclusive jurisdiction and venue of the state and federal courts located in Duval County, Florida, and each of us waives any objection to that venue. To the extent permitted by law, and except where a claim proceeds in arbitration, each party waives any right to a trial by jury.
Any claim arising out of or relating to these Terms or our services must be brought within one year after the claim arose, or within the shortest period allowed by applicable law if a one-year limit is not enforceable, except where a longer period cannot be waived.
21. Electronic communications and signatures
You consent to receive notices, agreements, waivers, receipts, disclosures and other communications from us electronically, by email, text message or through our booking platform, and you agree that these satisfy any legal requirement that a communication be in writing. You agree that your electronic signature, click-acceptance or check-box acceptance has the same legal effect as a handwritten signature. You may withdraw this consent by contacting us, but doing so may prevent us from providing our services. It is your responsibility to keep a working email address and phone number on file.
22. Changes to these Terms
We may update these Terms from time to time. The "last updated" date above shows when they were last revised, and the current version is always posted at thematpilates.co/terms. For material changes affecting an active recurring membership, we will provide notice by email or through the booking platform before the change applies to your next billing period. Your continued use of our website or services, or continued membership, after a change takes effect means you accept the revised Terms. Changes to the arbitration provision in Section 19 do not apply retroactively to a dispute of which we already had notice.
23. General provisions
- Entire agreement. These Terms, together with our Privacy Policy, your signed waiver and membership agreement, and the purchase terms disclosed at checkout, are the entire agreement between us about their subject matter and supersede any earlier understanding or representation.
- Severability. If any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions remain in full force.
- No waiver. Our failure to enforce any provision, or our decision to waive a fee or requirement on one occasion, is not a waiver of that provision or of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms or your membership. We may assign them in connection with a sale, merger or reorganization of our business.
- Force majeure. Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disaster, hurricane, fire, flood, epidemic or pandemic, government order, utility or internet failure, labor disruption or acts of third parties.
- Third-party services. Our booking, payment and other third-party providers are not parties to these Terms, and we are not responsible for their acts, omissions, outages or terms.
- Headings and survival. Headings are for convenience only. Provisions that by their nature should survive — including Sections 10, 13, 15, 16, 17, 18, 19, 20 and 23 — survive termination of your membership or account.
